Chapter 3 - The Controlling ShareholderMiriam Shaw’s law offices in downtown Chicago smelled of aged leather and expensive espresso, even at midnight.

Miriam sat across from me at her conference table, staring intently at the laptop screen where she had just watched the security footage twice. When the video finally ended, she pushed her glasses up the bridge of her nose and looked up at me with profound respect.
“They are orchestrating a premeditated frame job,” Miriam said slowly, her voice laced with sharp disbelief. “A staged medical crisis, a forged confession of corporate misconduct, and a fabricated mental breakdown, all timed precisely forty-eight hours before Monday’s emergency board restructuring vote.”
“They want me discredited so Richard can push through a massive asset-stripping maneuver,” I replied calmly, crossing my legs and folding my hands over my notepad. “He’s planning to transfer twenty-five million dollars from the corporate reserve fund into an offshore shell company managed by Dana Mercer.”
Miriam raised an eyebrow. “How do you know about the offshore transfer? Richard hasn't filed those disclosures with the board yet.”
“Because I still audit the parent company’s automated ledgers every month, Miriam,” I said, offering a faint, cold smile. “Richard thinks our domestic Wi-Fi network is the only thing I monitor. He forgot that the foundational master equity shares of Carter Logistics were never held in his name alone.”
Miriam paused, leaning forward. “What are you talking about, Evelyn?”
I opened my leather portfolio and slid a certified, heavily stamped document across the desk.
Miriam glanced down at the paper. The color rushed from her face as she read the headings. Original Incorporation Equity Distribution Deed, dated twenty-seven years ago.
“Good grief,” Miriam whispered, looking up at me in shock. “You... you own seventy percent of the foundational voting stock. Richard owns thirty percent. He’s been operating as CEO under your delegated proxy authority this entire time.”

“Exactly,” I said quietly. “They don't think they’re just removing an inconvenient wife this weekend, Miriam. They are attempting to defraud the true controlling shareholder and majority owner of Carter Logistics.”
Miriam leaned back in her chair, a fierce, triumphant grin breaking across her face. “Well, Evelyn... what is your opening move?”
